1. Acceptance of terms

These Terms of Service govern your use of the Top Floor platform, operated by Top Floor Ltd. By accessing or using the platform, you agree to these terms. If you do not agree, do not use the platform.

2. The marketplace

Top Floor is a two-sided marketplace. Founders create accounts and publish startup listings; investors browse and search listings freely, without an account, and express interest through a form.

Top Floor is a venue for connection only. We are not a broker-dealer, investment adviser, or party to any transaction between founders and investors, and nothing on the platform is investment advice or an offer of securities.

3. Eligibility and accounts

You must be at least 18 and able to form a binding contract. Founders are responsible for the accuracy of their account and listing information and for keeping their credentials secure.

4. Instant publishing and moderation

Founder listings publish instantly, with no approval queue. We may, at our discretion, hide, remove, or restrict any content or account that violates these terms or our guidelines, and may suspend or ban accounts for abuse.

5. Your content

You retain ownership of the content you submit. You grant Top Floor a non-exclusive, worldwide licence to host and display your content for the purpose of operating the platform.

You are responsible for your content and confirm you have the rights to publish it and that it is not false, misleading, or unlawful.

6. Investor interest and communications

When an investor submits interest, their details are delivered to the relevant founder. Both parties are responsible for their own communications and any resulting relationship. Contact details are shared only through the platform's forms, never published.

7. Prohibited conduct

You agree not to post false or fraudulent listings, harvest others' data, spam, circumvent security, infringe intellectual property, or use the platform for unlawful purposes.

8. Fees

Listing a startup and browsing opportunities are free for founders and investors. If we introduce paid features, we will disclose the terms in advance.

9. Intellectual property

The Top Floor name, brand, and platform are owned by Top Floor Ltd. These terms grant you no rights in our intellectual property beyond using the platform as intended.

10. Disclaimers

The platform is provided "as is" without warranties of any kind. We do not verify, endorse, or guarantee any listing, founder, investor, or the outcome of any connection made through the platform.

11. Limitation of liability

To the maximum extent permitted by law, Top Floor Ltd is not liable for indirect, incidental, or consequential damages, or for any investment decision, transaction, or loss arising from use of the platform.

12. Indemnification

You agree to indemnify Top Floor Ltd against claims arising from your content, your use of the platform, or your violation of these terms.

13. Termination

You may stop using the platform at any time. We may suspend or terminate access for violations of these terms. Certain provisions survive termination, including intellectual property, disclaimers, and limitation of liability.

14. Governing law

These terms are governed by the laws applicable to Top Floor Ltd's place of incorporation, without regard to conflict-of-laws rules.

15. Changes to these terms

We may update these terms; the last-updated date reflects the current version. Continued use after changes constitutes acceptance.
